PIIKER TERMS AND CONDITIONS

AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Piiker ("Piiker," "we," "us," or "our"), concerning your access to and use of the Piiker curbside pickup coordination platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. SERVICE DESCRIPTION

Piiker provides a cloud-based software platform that enables restaurants to coordinate curbside pickup requests through QR codes, customer-facing interfaces, and restaurant management dashboards.

2. SUBSCRIPTION PLANS AND PRICING

2.1 Plans Available:
- Monthly Plan: $35 per month, billed monthly
- Yearly Plan: $399 per year, billed annually (includes complimentary parking sign package valued at $80)

2.2 Auto-Renewal:
All subscriptions automatically renew at the end of each billing period unless cancelled prior to renewal. By subscribing, you authorize Piiker to charge your payment method on a recurring basis.

2.3 Payment Processing:
Payments are processed through Stripe, Inc. You agree to provide current, complete, and accurate payment information. You are responsible for all charges incurred under your account.

2.4 Price Changes:
Piiker reserves the right to modify subscription pricing with 30 days' notice. Price changes will not affect your current billing period but will apply upon renewal.

3. FREE DEMO AND TRIAL PERIOD

3.1 Demo System:
Piiker offers a free demo system ("Save for Later") that allows prospective customers to test the Service before subscribing.

3.2 Demo Limitations:
- Demo accounts expire 30 days after creation
- Demo systems are fully functional but not connected to live customer traffic
- No restrictions on demo usage during the 30-day period
- Piiker reserves the right to delete expired demo accounts and associated data

4. REFUND POLICY

4.1 30-Day Money-Back Guarantee:
All new subscriptions (monthly or yearly) are eligible for a full refund if requested within 30 days of initial purchase. Refund requests must be submitted to angulo.kevin10@gmail.com.

4.2 Subscription Cancellations:
- Monthly subscriptions: Cancel anytime. No refunds for partial months.
- Yearly subscriptions: Cancel anytime. No pro-rata refunds after the 30-day money-back period.

4.3 Non-Refundable Items:
- Parking sign packages are non-refundable once ordered
- If a yearly subscriber cancels after parking signs have been ordered or shipped, Piiker will retain $80 from any applicable refund to cover sign costs
- Service fees due to non-payment or Terms violations are non-refundable

5. PARKING SIGNS (YEARLY PLAN BENEFIT)

5.1 Sign Package:
Yearly plan subscribers receive a complimentary parking sign package valued at $80, which includes three (3) custom-branded parking signs with QR codes.

5.2 Sign Redemption:
Signs are provided via a redemption voucher. Customers must submit shipping information to receive signs.

5.3 Non-Refundable:
Parking signs are non-refundable once ordered. If a yearly subscription is cancelled after signs have been ordered or shipped, $80 will be deducted from any refund.

5.4 Defective Signs:
Piiker will replace or repair defective signs on a case-by-case basis. Claims must be submitted with:
- Photographic proof of defect
- Signs in original packaging/wrapping
- Return shipping may be required at Piiker's discretion

6. ACCEPTABLE USE POLICY

6.1 Permitted Use:
You may use the Service only for lawful purposes and in accordance with these Terms.

6.2 Prohibited Activities:
You agree NOT to use the Service to:
- Engage in any illegal activity or promote illegal activity
- Send spam, unsolicited communications, or fraudulent messages
- Conduct scams or fraudulent schemes
- Impersonate any person or entity
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Attempt to gain unauthorized access to any portion of the Service
- Violate any applicable laws or regulations

6.3 Usage Limits:
- No limits on the number of pickup requests per month
- No bandwidth usage limits under normal use
- Piiker reserves the right to suspend accounts exhibiting abnormal usage patterns that may indicate abuse

7. ACCOUNT SUSPENSION AND TERMINATION

7.1 Suspension for Non-Payment:
Piiker may suspend or terminate your account immediately upon non-payment of subscription fees.

7.2 Termination for Violations:
Piiker reserves the right to suspend or terminate your account immediately if you violate these Terms or engage in prohibited activities.

7.3 No Refunds Upon Termination:
No refunds will be issued for accounts terminated due to non-payment or Terms violations.

7.4 Customer Cancellation:
You may cancel your subscription at any time by contacting angulo.kevin10@gmail.com or through your account dashboard. Cancellations take effect at the end of the current billing period.

8. DATA OWNERSHIP AND RETENTION

8.1 Customer Data:
You retain ownership of all restaurant information, branding materials, and content you provide to Piiker ("Customer Data").

8.2 Pickup Request Data:
Pickup request data is stored temporarily to facilitate service delivery. Pickup requests are automatically deleted from our servers 30 minutes after being marked as completed.

8.3 Data Upon Cancellation:
Upon subscription cancellation:
- Customer Data may be retained for reactivation marketing purposes
- You may request to opt out of marketing emails by contacting angulo.kevin10@gmail.com
- Data export is not available after cancellation
- Piiker may retain certain data as required by law or for legitimate business purposes

9. INTELLECTUAL PROPERTY

9.1 Piiker Ownership:
Piiker retains all rights, title, and interest in and to the Service, including all software, technology, QR codes, dashboards, and related materials created by the Service.

9.2 License to Customer:
Piiker grants you a limited, non-exclusive, non-transferable license to use the Service and materials generated by the Service (including QR codes) solely for your business purposes during your active subscription.

9.3 QR Code Functionality:
While you may use QR codes generated by Piiker, the functionality of those QR codes is controlled by Piiker and requires an active subscription to operate.

9.4 Customer Logo License:
By uploading your logo or branding materials to the Service, you grant Piiker a non-exclusive, worldwide license to use, display, and reproduce your logo solely for:
- Providing the Service to you (displaying your branding on customer-facing pages)
- Printing parking signs at your request
This license terminates upon cancellation of your subscription, except for materials already printed or in production.

10. SERVICE AVAILABILITY

10.1 "As-Is" Service:
The Service is provided on an "as-is" and "as-available" basis. Piiker makes no guarantees regarding uptime, availability, or uninterrupted access.

10.2 Maintenance and Downtime:
Piiker may perform scheduled or emergency maintenance that temporarily interrupts Service availability. We will make reasonable efforts to provide advance notice of scheduled maintenance.

10.3 No Service Level Agreement:
Piiker does not provide any Service Level Agreement (SLA) or uptime guarantee.

11. WARRANTIES AND DISCLAIMERS

11.1 No Warranties:
PIIKER PROVIDES THE SERVICE "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PIIKER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will meet your requirements or be error-free
- Warranties regarding the accuracy, reliability, or completeness of any content

11.2 No Guarantees:
Piiker does not guarantee:
- Specific business results or increased revenue
- Compatibility with all devices or systems
- Error-free or uninterrupted operation

12. LIMITATION OF LIABILITY

12.1 Exclusion of Damages:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIIKER SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Costs of substitute services
- Damages arising from your use or inability to use the Service

12.2 Maximum Liability:
Piiker's total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to Piiker in the 12 months preceding the claim.

12.3 Service-Related Disclaimers:
Piiker is not responsible for:
- Misrepresented customer pickup requests or incorrect customer information
- Incorrect orders, food quality, or preparation issues
- Customer complaints or disputes arising from your restaurant operations
- Third-party actions, including customer behavior or fraudulent pickup requests

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Piiker, its owner, and any affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Content you provide to the Service
- Your restaurant operations and customer interactions

14. MODIFICATIONS TO TERMS

14.1 Right to Modify:
Piiker reserves the right to modify these Terms at any time.

14.2 Notice of Changes:
Material changes to these Terms will be communicated via:
- Email notification to the address associated with your account
- Notice posted on the Piiker website

14.3 Advance Notice:
You will receive at least 30 days' notice before material changes take effect.

14.4 Acceptance of Changes:
Continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your subscription before the changes take effect.

15. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

16. DISPUTE RESOLUTION

Any disputes arising from these Terms or your use of the Service shall be resolved in accordance with the laws of the United States. You consent to the personal jurisdiction of such courts.

17. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Piiker regarding the Service and supersede all prior agreements and understandings.
